We are WRNLY Private Company Limited by Shares (RC 8695932) ("Company," "we," "us," "our"), a private company limited by shares registered in the Federal Republic of Nigeria, with its registered office at Lekki Garden, Horizon 2 Estate, Meadowhall Way, Lekki, Lagos, Nigeria, West Africa.
We operate WRNLY’s apps, websites, platforms, and related tools as an all-in-one hiring platform for teams, providing talent sourcing, recruitment, screening, job matching, employer and talent support, HR outsourcing, and Software-as-a-Service solutions (collectively, the "Services").
These Legal Terms constitute a legally binding agreement between you ("you") and WRNLY concerning your access to and use of the Services. By accessing or using the Services, you agree that you have read, understood, and agree to be bound by all of these Legal Terms.
Using WRNLY apps and Services may include downloading software to your device. You agree that we may automatically update that software, and that these Legal Terms will apply to any updates.
When you create your WRNLY account, you must provide us with accurate and complete information and keep it up to date.
The Services are intended for users who are at least 18 years old or the age of majority in their jurisdiction, if not less than 16 years. Persons under this age threshold are not permitted to use or register for the Services.
We exist to power companies and organizations with great people and great systems. We are an all-in-one hiring platform, matching top-tier talent directly to employers so they can work without borders and collaborate without limits.

The Services are not intended for use where such use would be contrary to law or would subject us to registration or licensing obligations. Users are responsible for compliance with applicable Nigerian law.
We are the owner or licensee of all intellectual property rights in our Services, including all software, data models, proprietary vetting and matching systems, databases, functionality, website and app designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as our trademarks, service marks, and logos (the "Marks").
Our Content and Marks are protected by Nigerian and international intellectual property and unfair competition laws.
Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use or internal business purpose only.
No Content or Marks may be copied, reproduced, sold, or exploited for any commercial purpose without our prior written permission. Any breach constitutes a material breach of these Legal Terms and may result in termination.
By using the Services, you represent and warrant that:
You have the legal capacity and you agree to comply with these Legal Terms.
You are at least 18 years old or the age of majority in your jurisdiction (if not less than 16 years).
Not reverse-engineer, copy, or disrupt our systems
Maintain confidentiality of login details
You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise.
You will not use the Services for any illegal or unauthorized purpose.
Be responsible for all activity under your account.
Your use of the Services will not violate any applicable Nigerian law or regulation, including trade restrictions including but not limited to Nigerian sanctions, the FCCPA 2019, and the Cybercrimes (Prohibition, Prevention, etc.) Act 2015.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.
If we have previously disabled your account for violating these Terms, our policies, or for
legal reasons, you will not create a new WRNLY account without our express written
permission.
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by us.
As a user of the Services, you agree not to, among other things:
Systematically retrieve data or other content from the Services to create or compile a database or directory without our written permission.
Trick, defraud, or mislead us or other users.
Circumvent, disable, or interfere with security-related features of the Services.
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
Use information obtained from the Services to harass, abuse, or harm another person.
Make improper use of our support services or submit false reports of abuse.
Use the Services in a manner inconsistent with applicable laws and regulations.
Engage in unauthorized framing of or linking to the Services.
Upload or transmit viruses, malware, or other harmful code.
Engage in any automated use of the system, including bots, scrapers, or similar tools.
Impersonate another user or person.
Interfere with, disrupt, or create an undue burden on the Services or networks connected to the Services.
Attempt to bypass measures designed to prevent or restrict access to the Services.
Reverse engineer, decompile, or disassemble any software comprising the Services, except as permitted by Nigerian law.
Use the Services as part of any effort to compete with us or otherwise use the Services or Content for any revenue-generating endeavour or commercial enterprise not expressly authorized.
The Services may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, resumes, profiles, comments, feedback, or other information ("Contributions").
When you create or make available any Contributions, you represent and warrant that:
You are the creator and owner of, or have the necessary licenses, rights, consents, and permissions to use and authorize us and other users to use your Contributions.
Your Contributions do not infringe any third-party intellectual property or proprietary rights.
Your Contributions are not fraudulent, defamatory, obscene, harassing, hateful, or otherwise objectionable.
Your Contributions do not violate any applicable Nigerian law or regulation or any third-party privacy rights.
Any use of the Services in violation of the foregoing may result in termination or suspension of your rights to use the Services.
You and WRNLY agree that we may access, store, process, and use any information and personal data that you provide in accordance with our Privacy Policy and your choices (including settings).
" By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.
We do not claim ownership over your Contributions. You retain full ownership of your Contributions and any intellectual property rights associated with them. However, you are solely responsible for your Contributions and agree to hold us harmless from any claims arising from them.
The Services may contain links to third-party websites or content ("Third-Party Websites" or "Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy or completeness by us.
We are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services. Your use of Third-Party Websites and Content is at your own risk.
Any relationship, transaction, or dispute with a third party is solely between you and that third party. We do not endorse the products or services offered on Third-Party Websites.
We reserve the right, but not the obligation, to:
Monitor the Services for violations of these Legal Terms.
Take appropriate legal action against anyone who violates Nigerian law or these Legal Terms.
In our sole discretion, refuse, restrict access to, limit the availability of, or disable any of your Contributions.
Remove from the Services or otherwise disable all files and content that are excessive in size or are burdensome to our systems.
Otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
We care about data privacy and security. We process personal data in accordance with:
Our Privacy Policy; and Applicable Nigerian data protection laws, including the Nigeria Data Protection Act 2023 (NDPA).
Cross-border transfers of personal data (for example, where we host data outside Nigeria or use global tools) are carried out using lawful safeguards as required under NDPA and other applicable Nigerian regulations. Applicable data protection laws in your jurisdiction (see Regional Schedules), to their level of alignment with Nigerian Laws.
By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
These Legal Terms shall remain in full force and effect while you use the Services.
We may suspend or terminate your account or access to the Services at any time, with or without notice, for reasons including but not limited to:
Violation of these Terms or other WRNLY policies
Violation of applicable Nigerian laws or regulations
Fraud or malicious behaviour Non-payment of fees
Infringing intellectual property rights
Interfering with the security or operation of the Services
Compliance with legal or regulatory requirements.
You may stop using the Services at any time. Termination does not relieve you of obligations incurred prior to termination.
We reserve the right to change, modify, or remove the contents of the Services at any time at our sole discretion. Material changes will be communicated. Continued use after changes take effect constitutes acceptance.
We may experience interruptions, maintenance, or technical issues. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access the Services during any downtime or discontinuance.
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, particularly:
Federal Competition and Consumer Protection Act (FCCPA) 2019;
Cybercrimes (Prohibition, Prevention, etc.) Act 2015;
Nigeria Data Protection Act 2023 (NDPA), where applicable.
The courts of Nigeria shall have jurisdiction over disputes arising from or related to these Legal Terms and the Services, subject to any arbitration arrangement described below.
The parties agree to first attempt to resolve any dispute, controversy, or claim related to these Legal Terms (a "Dispute") informally, by good-faith negotiations for at least 30 days.
Where appropriate and practical, the parties may refer disputes to arbitration in Nigeria under applicable Nigerian arbitration frameworks. If arbitration is not pursued or fails, disputes may be brought before the competent courts of Nigeria.
Nothing in this section prevents either party from seeking interim or injunctive relief from a Nigerian court where necessary.
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the Services at any time, without prior notice.
The services are provided on an "AS-IS" and "AS-AVAILABLE" basis. You agree that your use of the services will be at your sole risk. To the fullest extent permitted by Nigerian Law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
We are building the best Service we can, but it will not always be perfect. To the maximum extent permitted by law, we are not liable for:
Loss of profits
User/client-caused data loss
Indirect or consequential damages.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
your access to or use of or inability to access or use the Service;
any conduct or content of any third party on the Service, including without limitation any defamatory, offensive, or illegal conduct of other users or third parties.
In no event shall our aggregate liability for all claims relating to the Service exceed One Hundred U.S. Dollars (US $100.00) (or the equivalent in Nigerian Naira at the prevailing exchange rate), except where Nigerian law requires a higher minimum liability.
Nothing in these Legal Terms is intended to exclude or limit any liability that cannot be excluded or limited under Nigerian law, including mandatory rights under FCCPA 2019 and NDPA 2023.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, arising out of or related to:
Your use of the Services;
Your breach of these Legal Terms;
Your violation of applicable Nigerian law; or
Your violation of the rights of a third party (including intellectual property or privacy rights).
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.
You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption.
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing under Nigerian law.
You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.
If we provide SMS text messaging services (such as notifications or alerts), message and data rates may apply depending on your mobile network and plan.
You may opt out of receiving SMS messages by following the opt-out instructions provided in the message (for example, replying "STOP"), where applicable.
1. Notification procedures and changes to these Terms
We may revise, add, or remove any or all portions of these Terms from time to time and the most current version will always be posted on our website. Unless otherwise required by law, we’ll notify you of any material changes to these Terms before any update enters into effect. Your continued access to or use of WRNLY apps and services after such an update constitutes your binding acceptance of such changes. Disputes arising under these Terms will be resolved in accordance with the version of these Terms in place at the time the dispute arose. For clarity, by continuing to use WRNLY apps and services, you are agreeing to be bound by the then-current version of these Terms.
If we're making a material change to the Terms, we'll let you know ahead of time via notifications. If you don’t agree with the new Terms, please stop using WRNLY apps and services.
2. Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
In case of such an assignment by us, you are entitled to terminate the agreement with immediate effect by deactivating your account. We will provide you with reasonable notice of any such assignment.
3. Entire agreement/severability
These Terms constitute the entire agreement between you and us concerning the Service. If any provision of these Terms is deemed invalid, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
4. No waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
5. Parties
These Terms are a contract between you (whoever uses WRNLY apps and services) and WRNLY Private Company Limited by Shares with its registered office at Lekki Garden, Horizon 2 estate Meadowhall Way, Lekki, Lagos, Nigeria, West Africa. As WRNLY is a Global -Facing Company, you agree that any rights and licenses granted hereunder benefit WRNLY, Private Company Limited by Shares and all of its worldwide subsidiaries and affiliates.
These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us concerning the Services.
Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable under Nigerian law, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
We may assign any or all of our rights and obligations to others at any time. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
You agree that these Legal Terms will not be construed against us by virtue of having drafted them.
